Terms of Service
Introduction
Please read these Terms of Service (“TOS”) carefully as they are the legal terms and conditions that you agree to when you use this online service (Nortify) provided to you by TRISAT. By using Nortify you agree to be bound by these TOS which contains provisions applicable to all users of Nortify, including casual visitors. If you choose to register (sign-up) as a client of Nortify, you will be asked to check a box to indicate that you have also read and agree to be bound by this TOS.
Nortify is operated by Trisat Communications Limited, a company incorporated under the laws of the Federal Republic of Nigeria. TRISAT is also referred to in these TOS as “we” and “us”. Whereas, nortify`s customer or customer`s enduser is also reffered to in these TOS as “you”. See appendix 1 in the annex page.
TRISAT offers an online (web based) Student Information System (SIS). TRISAT charges its clients fees based on number of students in the database for their hosted solution. This is also based on the chosen module and the respective add-on.
TRISAT uses reasonable endeavours to ensure that Nortify is available 24 hours a day, 7 days a week. However, there will be occasions when Nortify will be interrupted for maintenance, upgrades and emergency repairs or due to failure of telecommunications links or transmission blackout or equipment that are beyond the control of TRISAT. Every reasonable step will be taken by TRISAT to minimize such disruption where it is within the reasonable control of TRISAT. You agree that TRISAT shall not be liable to you for any modification, suspension or loss incurred during such interruption.
Furthermore, Trisat shall not be liable for any loss or discontinuance of Nortify in the event of war and act of God or natural disaster (such as hurricane, flooding, earthquake, volcanic eruption, etc.)
Backup
Trisat shall perform backup of databases, applications files, operating systems and other tools required for the continuous provisioning of the online service. Trisat is obliged to provide database replication among its servers to ensure maximum uptime availability, however, offline backup is deployed in case of cyberattack on the servers.
Privacy
TRISAT has a firm commitment to safeguarding your privacy. The terms of TRISAT’s privacy policy are incorporated into, and considered part of these TOS. See more details on the website.
Trademarks
All brand, product and service names used in this Service which identify TRISAT or third parties and their products and services are proprietary marks of TRISAT and/or the relevant third parties. Nothing in this Service shall be deemed to confer on any person any license or right on the part of TRISAT or any third party with respect to any such image, logo or name.
External Links
From time to time TRISAT may provide links that will take you to other third party websites. These links are provided for your convenience. If you decide to access linked websites you do so at your own risk. TRISAT does not endorse or take responsibility for the content on other websites or the availability of other websites and you agree that TRISAT is not liable for any loss or damage that you may suffer by using other websites.
Partnerships
Trisat is in partnership with some hardware and software vendors, technology experts and service providers. Based on your service needs, we may refer you to any of these companies, however, and you patronising them is outside the confines of this contract. Trisat is not liable for any loss or damage that you may suffer by dealing with these companies, and Trisat is not responsible for warranty on products bought from these partners.
Financial Services
In a bid to provide convenience in fees payment and other financial transactions that may be required while using Nortify, Trisat, is in partnership with a financial houses and online payment gateway providers to provide online payment services. These financial institutions will be responsible for sorting and remission of payment to respective accounts. However, for clarification on payments, the Nortify platform will provide transaction summary through electronic medium to aid in account reconciliation with the bank.
Please note that online payment services may likely attract charges that will be charged to the participating customers and participating financial institutions are liable to take responsibility for any discrepancies in payment.
Amendment of the Terms
TRISAT reserves the right to amend these TOS from time to time without any notice to you. You can review the most current version of the TOS at any time on the website.
Applicable Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these TOS shall be subject to the non-exclusive jurisdiction of the state and federal courts of Nigeria.
General
These TOS constitute the entire agreement between TRISAT and you with respect to your use of Nortify. TRISAT’s failure to enforce any right or provision in these TOS shall not constitute a waiver of such right or provision. If a court should find that one or more rights or provisions contained in these TOS is invalid, you agree that the remainder of the TOS shall be enforceable.

Sign-up/Registration
To sign-up or register as a client of TRISAT you must be 18 years or over. We reserve the right to refuse service to anyone for any reason at any time. You agree that the information that you provide to us on registration and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times. This is especially important with respect to your email address, since that is the primary way in which we will communicate with you about your account and your orders.
Client is expected to pay an annual subscription fee in using any of our premium plans (exclusive, deluxe, premium and enterprise). The subscription allows you access to our advanced smart technologies such as smart testing, online result publishing, debt tracking, financial reporting, automated admission offer etc. Upon expiration of the annual subscription, your account will be downgraded to basic plan with limited functionality. In most cases, the annual subscription is bundled with the add-on costs.
Nortify Plans
Nortify offers five plans ranging from free to paid, with varying features to allow decision makers like you choose the best option to suit your current needs. Below is the rundown of the available plans.
- Basic Plan: Mainly developed for schools whose focus is to keep student information electronically with the possibility of sending messages to parents.
- Exclusive Plan allows you to run paperless admission process through online registration, CBT testing and automatic admission offer.
- Deluxe Plan: Is designed for schools desirous of speedy end-of-term result processing. Result Sheets are automatically processed and copies are sent to the parents mailbox while duplicated copies are archived online. All features in basic plan are included in this plan.
- Premium Plan: Is designed for automated debt tracking and comprehensive financial reporting. It allows you to set fees, collect fees and reconcile fee payments with just a few clicks. All features in basic plan are included in this plan.
- Enterprise Plan: Is the combination of Basic, Deluxe and Premium Plans. It is best suited for schools whose needs require the 3 plans
Nortify Add-on
Nortify add-ons are utilities required to provide extended convenience to Nortify users – the schools and the parents. E.g Admission Vouchers are add-on required for online registration thereby providing convenience for the parent to fill the form at the comfort of their homes.
Nortify Licenses are for internal use only. Extended convenience cannot be provided with license. E.g E&R license allow schools to upload scores, generate report cards, print report card and keep duplicated in the archive.

Period of Validity
The annual subscription for the premium modules is valid within the fiscal period of the academic session. E.g September 2015 – August 2016. All subscription must be renewed at the beginning of the fiscal year.
Other licenses such as internal licenses, add-on licenses – CBT or e-receipt machines etc. are valid within year-in-year-out validity period. Licenses are pro-rated on yearly basis.
Password
After you become a client you will be provided with a user id and a password. As you will be responsible for all activities that occur under your password, you should keep your password confidential. You must notify TRISAT immediately of any unauthorized use of your password or if you believe that your password is no longer confidential. Nortify will constantly remind you of password change based on the configured password policy.
Formation of a Binding Contract
No contract will exist between you and TRISAT for the supply of any services or products unless and until TRISAT accepts your order by a confirmatory e-mail, registered mail or other appropriate means of communication. Requirement for service provisioning includes means of identification such as corporate papers, utility bills and government-issued IDs.
Conduct
You are responsible for all of the content you upload to Nortify. You must have the legal right to upload and display the content that you upload.
You agree not to use Nortify:
For any unlawful purposes;
To upload, post, share, email or otherwise transmit or communicate any material that is obscene, offensive, blasphemous, pornographic, unlawful, threatening, menacing, abusive, harmful, an invasion of privacy or publicity rights, defamatory, libellous, vulgar, illegal or otherwise objectionable;
To upload, post, share, email or otherwise transmit or communicate any material that you do not have a right to transmit or communicate under any contractual or fiduciary relationship or which infringes any copyright, trade mark, patent or other intellectual property right or any moral right of any party including, but not limited to TRISAT;
To harm minors in any way, including, but not limited to, content that violates child pornography laws, child sexual exploitation laws and laws prohibiting the depiction of minors engaged in sexual conduct;
To forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through Nortify;
To upload, post, email or otherwise transmit any material which is likely to cause harm to Nortify or anyone else’s computer systems, including but not limited to that which contains any virus, code, worm, data or other files or programs designed to damage or allow unauthorized access to Nortify which may cause any defect, error, malfunction or corruption to Nortify.
Violation of any of these agreements will result in the termination of your Nortify account. While TRISAT prohibits such conduct and content on its site, you understand and agree that TRISAT cannot be responsible for the Content posted on Nortify and you nonetheless may be exposed to such materials and that you use Nortify at your own risk.
You further agree that you shall not:
Interfere with or disrupt (or attempt to interfere with or disrupt) this Service or servers or networks connected to this Service, or to disobey any requirements, procedures, policies or regulations of networks connected to this Service; or provide any information to TRISAT that is false or misleading, that attempts to hide your identity or that you do not have the right to make duplicate user accounts to bypass account restrictions.
Monitoring of Content
TRISAT does not control the content of clients’ accounts and does not have any obligation to monitor such content for any purpose. You acknowledge that you are solely responsible for all content and activity that occurs on your user account. It is your sole responsibility to upload data to the platform. However, if you want the periodic upload of data to be handled by the partner, then you will be required to pay a minimal fee for the services.
Customer Support
Trisat has a dedicated customer support team that will cater for all enquiries and challenges experienced by users in the course of using Nortify. Trisat has made provision for help desk system for detailed incident management. All incident will be resolved within 24-72 hours.
Customization of Account Features
The Nortify platform is embedded with tools that can be used to customize the outlay of each individual accounts based on their various preferences and school logos/traditional colours. These customizations can be done at no cost to the client. However, if a client requires more complex customization, the terms will be negotiated.
Suspension and Termination of Access and Membership
You agree that Trisat may at any time without notice:
- Refuse to accept your application to become a client of Trisat;
- Move or suspend any part of the Service; or
- Terminate your account and delete any content stored in your account if, in Trisat ‘s sole discretion, you fail to comply with any of these TOS or if a competent regulatory authority requires Trisat to do so
Disclaimer of Warranty and Limitation of Liability
TRISAT agrees that all services will be carried out with reasonable skill and care, and any goods supplied will be of satisfactory quality and reasonably fit for their purpose.
NORTIFY, TRISAT ‘S SITE AND ALL RELATED PRODUCTS AND SERVICES ARE PROVIDED BY TRISAT “AS IS” WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE EXPRESSLY DISCLAIMED. TO THE FULLEST EXTENT PERMITTED BY LAW, TRISAT DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THIS SERVICE.
YOU UNDERSTAND AND AGREE THAT THE SUBMISSION OF ANY DIGITAL CONTENT TO TRISAT, AND THE DOWNLOAD OR UPLOAD OF ANY MATERIAL THROUGH NORTIFY IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR CONTENT OR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT MAY RESULT IN THE DOWNLOAD OR UPLOAD OF ANY MATERIAL. YOU ARE SOLELY RESPONSIBLE FOR CREATING BACK-UPS OF YOUR DIGITAL CONTENT.
EXCEPT AS EXPRESSLY PROVIDED IN THE PRECEDING PARAGRAPH, TO THE FULLEST EXTENT ALLOWED BY LAW, TRISAT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES RESULTING FROM THE USE OR PROVISION OF NORTIFY, TRISAT ‘S SITE AND ALL RELATED PRODUCTS AND SERVICES, EVEN IF TRISAT’ S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING DISCLAIMERS, WAIVERS AND LIMITATIONS SHALL. APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
